Agreement
EQUIPMENT MAINTENANCE SCHEDULE
I. EQUIPMENT
Accel Communications agrees to maintain the equipment described
in Schedule A in accordance with the items and conditions
of this agreement.
II. INSPECTION & REPAIR
If the equipment identified in Schedule A was not under Accel
Communications maintenance service responsibility immediately
prior to the commencement of maintenance service under this
agreement, it shall be subject to inspection by Accel Communications
to determine if it is in good operating condition which for
the purpose of this agreement, is defined as the level established
for equipment maintained by Accel Communications. Any repairs
or adjustments deemed necessary by Accel Communications to
bring the equipment up to good operating condition shall be
made, at the customer’s expense, prior to the commencement
of the maintenance service.
III. TERM
The initial term of this agreement shall be for a period
of twelve (12) months from the date hereof or from the date
of any repairs or adjustments required under paragraph 2 above.
Thereafter, this agreement shall continue in effect unless
and until it is canceled by either party upon sixty (60) days
written notice.
IV. CHARGES
The monthly maintenance charge during the initial twelve
(12) month term of this agreement shall be as set forth in
Schedule A, including any applicable zone charges. At the
conclusion of the twelve (12) month term and thereafter on
an annual basis, the monthly maintenance charge may be increased
but not in an amount to exceed seven percent (7%) over the
rate charges in the immediately proceeding maintenance term.
If Customer, with Accel Communications approval, makes any
modifications, additions or deletions to the equipment listed
in Schedule A, Accel Communications may adjust the monthly
maintenance charges to reflect these changes. Any additional
maintenance charges under Paragraph 6(d) below shall be Accel
Communications’ published rates if effect at the time
that they are furnished.
V. INVOICES AND PAYMENT
Customer shall make any payments due under this agreement
within thirty (30) days of the invoice date. Monthly charges
for maintenance shall be invoiced annually in advance, all
other changes shall be invoiced after the month in which charges
accrue. Interest shall accrue on any sum not paid when due
at the maximum rate permissible by law.
VI. MAINTENANCE
(a) As part of the service, Accel Communications shall provide:
Schedule preventative maintenance, including any necessary
parts, on Accel Communications maintained equipment. To include
annual alarm inspection of security alarm system in accordance
with City of Phoenix alarm code.
All remedial maintenance services, including any necessary
parts, on Accel Communications maintained equipment when notified
that equipment is malfunctioning or inoperative.
(b) All maintenance shall be provided between the hours of
8:00 a.m. and 5:00 p.m. Monday thru Friday, excluding Accel
Communications local holidays.
(c) Maintenance service shall not include the following:
(1) Electrical work that is external to the equipment or
repair of any damage or replacement of any part or parts resulting
from the failure of electrical power, air conditioning or
lighting storm damage.
(2) Repair of damage or replacement of parts resulting from
catastrophe, accident, neglect, misuse of equipment, vandalism
or unauthorized modifications or repairs, repairs or reinstallation
of the equipment be the Customer.
(3) Any system or operational malfunction or failure not
attributable to the furnished equipment.
(4) Services requested and provided outside of the period
specified in subparagraph (b) above.
(5) Relocation or reinstallation of equipment.
(d) At Customer’s request Accel Communications may
in its sole discretion, provide services not included in the
monthly maintenance services or beyond that period specified
in subparagraph (b) above at the published rates in effect
at the time the labor and parts are furnished. Labor charges
shall include travel time to and from the installation site
and shall be computed to the on-half (1/2) hour with minimum
charge per call based upon a one (1) hour period. Travel expenses
shall be billable at Accel Communications’ then current
published rates and terms, or if commercial transportation
is used, at the actual cost of such commercial transportation.
Other travel costs, such as per diem, lodging, parking and
tolls shall be invoiced to Customer as incurred.
(e) Title to all equipment and parts provided for repair
or maintenance under this agreement shall pass to Customer
upon completion of the repairs for which they were used, and
any replaced parts become the property of Accel Communications.
(f) The Customer shall perform such routine maintenance as
keeping the equipment clean but shall never attempt major
maintenance or equipment repair.
ACCEL
SERVICE PLAN
SCHEDULE OF SERVICES
Availability: Seven days a week,
24 hours a day.
Response Time Range: Two to four
working hours for scheduling of all service calls. The call
must be placed by an authorized person.
Response Status: Priority response.
Defect Correctable Response Time: Defective
equipment will be replaced with loaner equipment from our
Service Pool. Resolution of the problem will be within 24
hours following the receipt of a service call.
Parts Coverage: All parts are
covered as part of this plan.
Labor Coverage: All labor is
covered under this plan.
Instant Loaner: We maintain a
service pool of loaner equipment specifically designed to
support our Accelerated Service Plan clients. If our field
technicians are not able to repair a piece of faulty equipment
at your location, then we will replace it with a loaner, keeping
your system up and running. The defective equipment will be
repaired and returned to your site accordingly.
Items Not Covered: This includes
damage caused by misuse, abuse, accident, disaster, fire,
flood, water, wind, lightning, and Acts of God. In addition,
items designed to fail in order to protect the equipment,
such as power and/or lightning suppressers, are also not covered
by this plan.
Preventative Maintenance: Annually.
